Both companies have extraordinary technical histories, and one could argue that both have fallen on lean times in terms of innovation, so maybe this kick-starts a new period of invention? Or it just results in a joint decline...?!??
HP has rebuffed the overture, at least for now. It will be interesting to see if anything new develops or if the deal is now dead...

Got a long way to go. It's a hostile bid that substantially undervalues HP, which has been performing very well and has a strong re-capitalization and cost reduction plan. Xerox needs HP but HP doesn't need Xerox - unless X made an offer H shareholders couldn't refuse, but they're a long way from there. See this, among others
